 Hy-Drive Technologies Ltd. completes Canadian tranche of previously announced Cdn$22.1 million Private Placement

Mississauga, Ontario (January 18, 2007 ) – Hy-Drive Technologies Ltd. (“Hy-Drive”) (TSXV: HGS) today announced that it has completed the Canadian  tranche of its previously announced Cdn$22.1 million private placement of units (“Units”) for gross proceeds of approximately Cdn$11,100,000.  In connection with the closing, Hy-Drive issued an aggregate of 2,960,000 Units at a price of $3.75 per Unit.  A final tranche of the private placement for the balance is expected to close in January, 2007. To date the offering has grossed $25,665,000 based on the additional allotment and subscription of near 1,000,000 units.
 
Each Unit consists of one common share of Hy-Drive and one-half of a common share warrant. Each whole warrant entitles the holder to purchase one additional common share at an exercise price of $5.50 and expires two years from the date of issue.

The net proceeds of the offering will be used to fund 2007 operating requirements including increased working capital required to finance product roll-out and the introduction of new products within existing and new market verticals previously announced and in negotiation; sales and marketing expenditures to augment existing globalization initiatives; research and development expenses to further enhance the technology; patent applications to strengthen the Company's intellectual property portfolio and general corporate purposes.

Haywood Securities Inc., Jennings Capital Inc. and Brant Securities Limited , as agents for the Canadian  tranche of the offering, received a cash commission of 6% of the gross proceeds of the first tranche of the offering.  In addition Bristol Capital Ltd. received a cash finder’s fee of  $5,625  for services provided.

All shares, warrants and any shares issuable upon exercise of the warrants issued pursuant to the offering are subject to a four month hold period as required under applicable securities laws and the policies of the TSX Venture Exchange.
