Turquoise International is a specialist corporate finance advisory firm based in London, UK, actively engaged in Europe and the Middle East in due diligence, valuations, feasibility analysis, transaction management, asset management, debt and equity fundraising. Their primary sector experience is in the fields of energy technology, hydrocarbons and power.

Under the terms of the Engagement, Turquoise International will conduct due diligence and analysis of the specific funding requirements of the Corporation, act as a liaison for Canadian and UK legal/regulatory and accounting/tax advisors, assist the Corporation in the preparation of private placement fundraising related documents, prepare a selected list of strategic industry investors, venture capitalists, investment funds and sophisticated investors.

Turquoise International's services will commence immediately. The Corporation may terminate the Engagement with one calendar months notice. The Corporation's working capital will be used to pay to Turquoise International a retainer of Pounds Sterling 10,000 per month to a maximum of 4 months, where after HTC will pay Pounds Sterling 5,000 per month, if continued corporate finance advisory services are required.

Turquoise International had no interest, directly or indirectly, in the Corporation or its securities, or any right or intent to acquire such an interest.
